1. Agreement to Terms

By accessing or using the Sunrise Unified IT website (sunriseunified.ca) and/or engaging our managed IT services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These terms apply to all visitors, users, clients, and any others who access or use our website and services.

2. Services

Sunrise Unified IT provides managed IT services, cybersecurity solutions, helpdesk support, cloud management, backup and disaster recovery, website services, networking, and related technology services to businesses primarily located in the Niagara Region and across Canada.

Specific service terms, deliverables, and service level agreements (SLAs) will be outlined in individual service agreements between Sunrise Unified IT and the client. In the event of a conflict between these Terms of Service and a specific service agreement, the service agreement shall prevail.

3. Use of Website

You agree to use our website only for lawful purposes and in a manner that does not:

  • Infringe upon the rights of others or restrict their use of the website
  • Violate any applicable local, provincial, national, or international law
  • Attempt to gain unauthorized access to any portion of the website, server, or connected systems
  • Introduce viruses, malware, or any other harmful code
  • Collect or harvest personal information from other users

4. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, and software, is the property of Sunrise Unified IT or its content suppliers and is protected by Canadian and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from this website without our prior written consent.

5. Client Responsibilities

As a client of Sunrise Unified IT, you agree to:

  • Provide accurate and complete information necessary for us to deliver services
  • Maintain the confidentiality of any account credentials we provide
  • Notify us promptly of any security breaches or unauthorized use of your systems
  • Ensure that your use of our services complies with all applicable laws and regulations
  • Pay all fees and charges in accordance with your service agreement

6. Payment Terms

Payment terms for managed IT services are outlined in individual service agreements. For ad-hoc services, payment is due upon completion unless otherwise agreed in writing.

We reserve the right to suspend services for accounts with overdue payments after providing reasonable notice. Late payments may be subject to interest charges as specified in your service agreement.

7. Service Availability

While we strive to provide reliable, uninterrupted services, we do not guarantee that our services or website will be available at all times. We may experience downtime for maintenance, updates, or circumstances beyond our control.

Specific uptime commitments and response time guarantees are detailed in individual service level agreements.

8. Limitation of Liability

To the maximum extent permitted by Canadian law, Sunrise Unified IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services. This includes, but is not limited to, damages for loss of profits, data, goodwill, or business opportunities.

Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you to Sunrise Unified IT in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Sunrise Unified IT, its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your violation of these Terms of Service, your misuse of our services, or your violation of any applicable law.

10. Termination

For managed service agreements, termination terms are specified in the individual service agreement. Either party may terminate month-to-month agreements with 30 days written notice unless otherwise stated.

We reserve the right to suspend or terminate access to our website or services immediately if you breach these Terms of Service.

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the service relationship. This obligation survives the termination of any service agreement.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

13. Changes to These Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after any changes constitutes acceptance of the revised terms.

14. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
